Disputes, Termination and Jurisdiction


DISPUTES

Both FS and You agree that each party shall endeavour to resolve any dispute or claim arising in relation to this Agreement by means of good faith negotiations between the two parties. Mediation – If the dispute is not resolved within fourteen (14) days from the commencement of such negotiations, then the parties shall endeavour to resolve the dispute through mediation The fees and expenses of the mediator and the mediation organisation shall be borne equally by each party. If the parties fail to resolve all matters in the dispute within 30 days of the first mediation session, then either party may seek such legal remedies as may be appropriate. ADR Any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England. The London Court of International Arbitration, shall have exclusive jurisdiction to hear and determine any claims, disputes, actions, or suits, which may arise under or out of this agreement. The Parties agree and voluntarily consent to the personal jurisdiction and venue of such courts for such purposes. TERMINATION This agreement is effective as soon as the application to the FS Network is approved. This agreement may be terminated by either party at any time. If FS or Partner terminates this Partner agreement, FS reserves the right to holdback all outstanding payments for up to 1 year. If chargebacks amount to more than the amount FS is holding, FS reserves the right to seek these chargebacks from the Partner via necessary action. FS may also apply a termination charge if there were any development works provided by FS and not paid for by the Partner, or the targets agreed were not met by the Partner. Failure to cover this termination charge can result in legal action.

Jurisdiction This agreement all Terms and Policies belonging to FS and/or the Platform shall be governed by the Jurisdiction of England and Wales.

Please see the Platform for updates in all areas which can be changed, altered, or withdrawn at any time without prior notice. Any conflicting information on the Platform takes precedent over these Terms and all other policies.

If you do not agree with this statement, then you do not have our permission to enter the Platform.
